
Installing on your own server - License Agreement
This License Agreement governs your installation and use of the MIDAS room booking and resource scheduling software ("MIDAS", "the software") on your own server. Please read it carefully. In this Agreement, "we", "us", and "our" refer to the licensor and copyright holder of the software, and "you" and "your" refer to the organisation installing and using the software.MIDAS is licensed for business and organisational use. By installing the software, you confirm that you are entering into this Agreement in the course of a business, trade, profession, or other organisational activity, and not as a consumer. The statutory rights afforded to consumers therefore do not apply to this Agreement.
1. License grant
Subject to your compliance with the terms of this Agreement, we grant you a non-exclusive, non-transferable (except as set out in the "Transfer of license" section below), perpetual license to install and use the software, revocable only in the event of a breach of this Agreement. This license permits use of the software solely for your own internal business or organisational purposes, up to the maximum number of users, venues, and databases for which your license is held.A single organisation may run multiple databases within one MIDAS system across its own internal departments, sites, or branches. However, one MIDAS license entitles one organisation to use the software. You may not use, share, sub-license, or otherwise make available your MIDAS system, or any database within it, to or on behalf of any other organisation (meaning any separate legal entity). A separate license is required for each organisation.
2. Permitted installations
You may install a single "live" instance of this software on one server only. We also permit you to install a second, separate, "not live" instance for testing purposes only. The software may be installed on any server type (for example physical, virtual, container, or VPS) provided that the minimum server requirements are met.3. Support subscription and software updates
The license granted to you is perpetual. Product support and software updates are provided under a separate, entirely optional, annual Support Subscription. The license to use the software does not expire if a Support Subscription is not taken out or is not renewed; however, your entitlement to support and to install software updates depends upon maintaining an active Support Subscription. The updates you are entitled to receive, both with and without an active Support Subscription, are explained in full here.4. Restrictions
With the exception of the "Language Packs" (contained in the "language" folder), "Theme Packs" (contained in the "themes" folder), or settings files, you may NOT modify any other files, whether complete, or in part, within the software for any purposes, including your own private or commercial purposes.Any custom text added to "Templates" may not be contradictory to the terms set out in this License Agreement.
You may NOT decompile, extract, reverse engineer, rebrand, disassemble or otherwise reduce the software to a human perceivable form, except to the extent that such restriction is prohibited by applicable law. You may not resell or create derivative works based upon the software.
All software code is © Copyright 2005-2026, except where indicated. You may NOT extract and use any portion of the copyrighted code for your own private or commercial purposes.
5. Intellectual property and unauthorized distribution
The software, and all intellectual property rights in it, remain at all times our property or that of our licensors. This Agreement grants you a license to use the software only, and does not transfer any ownership rights to you.Once licensed, any unauthorized distribution of your unique MIDAS ID (product key), or of files contained within the software, will immediately invalidate your license, and no product support or updates will be given. Any unauthorized distribution, copying, or use of your MIDAS ID, or of files contained within the software, constitutes a breach of this Agreement and an infringement of our copyright. We reserve all rights and remedies available to us at law, which may include civil proceedings and, where applicable, criminal sanctions. Distribution of licenses is at our sole discretion and may be revoked at any time for breach of these licensing terms.
6. Transfer of license
This license is personal to you and is non-transferable, save that, in the event that your organisation (or the part of it that uses the software) is sold or transferred to another party as a going concern, you may transfer this license to that party with our prior written consent, such consent not to be unreasonably withheld. Any such transfer is conditional upon the new licensee agreeing in writing to be bound by the terms of this Agreement. We reserve the right to charge a reasonable administrative fee in respect of any such transfer.7. Warranties and limitation of liability
THE SOFTWARE IS PROVIDED "AS IS". To the fullest extent permitted by applicable law, and save as expressly set out in this Agreement, we exclude all warranties, conditions, and terms, whether express or implied by statute, common law, or otherwise, including (without limitation) any implied terms as to satisfactory quality and fitness for a particular purpose.Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Subject to the paragraph above, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, loss of data, or for any indirect, special, or consequential loss or damage, arising out of any use of the software or breach of any warranty, even if such loss was foreseeable or we had been advised of the possibility of it.
Subject to the second paragraph of this section, our total aggregate liability arising out of or in connection with this Agreement and your use of the software shall in no circumstances exceed the total amount you paid for the perpetual license.
8. Refunds and privacy
Due to the downloadable nature of the software, we reserve the right to refuse refunds. Our refund policy may be found at mid.as/refunds.The Privacy Policy for our software may be found at here.
9. Termination
This Agreement, and the license granted under it, will terminate automatically if you breach any of its terms. On termination, you must immediately cease all use of the software and remove all instances of it from your servers. Termination does not entitle you to any refund and does not affect any rights or remedies that have accrued to us prior to termination.10. General
If any provision of this Agreement is found by any court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed severed and the remaining provisions shall continue in full force and effect.No failure or delay by us in exercising any right or remedy under this Agreement shall operate as a waiver of that right or remedy.
This Agreement is governed by the law of England and Wales, and is subject to the exclusive jurisdiction of the courts of England and Wales.
By installing MIDAS on your server you acknowledge that you have read this license, understand it and agree to be bound by its terms as the complete and exclusive statement of the agreement between us, superseding any proposal or prior agreement, oral or written, and any other communications between us relating to the subject matter of this license.
